NXP to buy Freescale in $40 billion merger
NXP Semiconductors will acquire smaller rival Freescale in a $40 billion cash and stock merger, both companies said late Sunday.
Under the terms of the deal, Freescale shareholders will receive $6.25 in cash and 0.3521 of an NXP ordinary earnings per share for each Freescale common earnings per share. The purchase price implies a total equity value for Freescale of approximately $11.8 billion.
NXP CEO Richard Clemmer will assume role as president and Chief Executive Officer of the merged company.
The merger is expected to create $500 million in annual cost synergies
